Terms & Conditions of Sale/Purchase
All quotations and sales of products manufactured by United States Pipe and Foundry, LLC; Griffin Pipe Products Co., LLC; and U.S. Pipe Fabrication, LLC (collectively referred to as 'Seller') to buyers and their affiliates (collectively referred to as 'Buyer') are conditioned strictly upon Buyer's acceptance of these Terms and Conditions of Sale ('Agreement').
Terms of Sale: All sales to the Buyer are subject to these Terms, which prevail over any conflicting terms in Buyer's purchase order or any other documents. Buyer agrees that any conflicting terms submitted by them are rejected and will not be part of any sale. This Agreement supersedes all prior agreements, negotiations, representations, or communications, regardless of whether they were oral or written, and any alterations or modifications must be in writing and signed by authorized representatives of both parties.
Prices: Seller's quoted prices may change without prior notice. All quotations for pipe or fittings will expire if not accepted and fulfilled within 180 days from the date of issue. Pricing for grooved products is firm for a period of 30 days. Adjustments may apply upon receipt of final project plans or specifications, where a material change may affect the price.
Any claims related to billing errors or adjustments must be submitted in writing within ten days from the invoice date; otherwise, they will be deemed waived. Changes in quantities, destinations, schedules, or installation may result in price adjustments.
Quotes represent unit prices and should not be considered lump-sum prices. Significant requests for materials outside quoted quantities may lead to repricing. In cases requiring different diameters or specifications not included in the initial quote, pricing will align with current rates at the time of order placement.
Price Escalation: Pricing may change after 180 days from Bid Date, with a minimum increase of 5% applicable for all orders made after one year.
Taxes: Buyer is responsible for all taxes imposed on products sold, which are excluded from Seller’s prices.
Payment: Orders not paid in full in advance will adhere to the Seller's Credit Application and its terms, typically requiring payment within 30 days from the invoice date. Unpaid amounts will incite interest charges of 1.5% per month or the maximum permitted by law.
Seller may require payment in advance if Buyer's credit is deemed unsatisfactory. Seller may also demand advanced deposits on specially manufactured goods ordered by Buyer, alongside assessing any unpaid amounts upon default.
Title and Risk of Loss: Risk of loss transfers to Buyer at the F.O.B point. Title transfers upon Seller's receipt of full payment for all amounts owed for the product.
Delivery and Delays: Delivery dates are estimates and subject to change without liability. Late deliveries will not incur penalties.
Force Majeure: Seller is not held liable for failures caused by circumstances beyond their control, such as acts of God, government actions, or labor difficulties.
Inspection: Buyer must inspect products upon arrival and notify Seller of any issues within fourteen days.
Cancellations and Changes: Cancellations or changes to orders require written consent from Seller. If Buyer cancels without consent, they are liable for compensation for completed and uncompleted items.
Returns: Returns are permitted only with written consent from Seller and may incur deductions based on condition.
Specifications: Seller does not guarantee the adequacy of design or specifications provided by Buyer.
Warranty: Seller warrants Product adherence to description and specifications for one year post-installation, while limitations may apply to manufacturer-oriented products.
Limitation of Liability: Seller is not liable for indirect or consequential damages as a result of product usage.
